Debt Due Diligence Checklist by Loan Type_ from RSF Borrower: ABC Organization Standard Due Diligence Items 1 Signed term sheet 2 Project Budget (if applicable) General 1 Short narrative for each of the following: (1) History and Background, (2) Mission, (3) Field and Industry (including market competitors), and (4) Business Operations (including strategy/growth plan and specific project for which the proposed financing is sought) 2 Articles of Incorporation/Organization or Certificate of Limited Partnership for Borrower/Corporate Guarantor 3 Evidence of Qualification/Authority to do Business in other states for Borrower/Corporate Guarantor 4 By-laws, Operating Agreement or Partnership Agreement (as applicable) 5 Organizational chart 6 Current List of Board Members (including bios) for Borrower/Corporate Guarantor (if different) 7 Current List of Senior/Executive-Level Management (including bios) for Borrower/Corporate Guarantor (if different) Financial and Strategic 1 Last 3 fiscal year’s financials (audited , if not available CPA reviewed or tax returns) for Borrower and/or Corporate Guarantor 2 Company prepared current Financials YTD (balance sheet, income statement, cash flows) ) for Borrower and/or Corporate Guarantor 3 Projected financials for the term of the requested loan (aka 5-year term = 5 year forecast) to include balance sheet, income statement and cash flow ) for Borrower and/or Corporate Guarantor 4 Latest accounts receivable (A/R), accounts payable (A/P) aging and inventory reports 5 Grant Proposal(s) and Grants Receivable Report (if any) 6 Business or strategic plan for Borrower and/or Corporate Guarantor 7 Personal guarantor: please provide latest Personal Financial Statement (RSF form), 2 years of tax returns and Bank/Brokerage Statements to verify liquidity.
