Social pubbing ser㤆ce is a ser㤆ce that alloᔍ the Ser㤆ce User to access thematic music channels and to play the songs listed therein, and alloᔍ the customers of the Ser㤆ce User to edit the plaᐛist of songs. The GTC includes the general terms and conditions of using the social pubbing ser㤆ce pro㤆ded by the Ser㤆ce Pro㤆der, and the rights and obligations created betᔄenĊheĬartiesĆnĊheĘourseČfĊheĥseČfĊhečocialęubbingčer㤆ce. ḧĐheĄffectČfĊheďTC: ḧ㈧ By signing the indi㤆dual ser㤆ce agreement (hereinafter referred to as: 㰿ndi㤆dual Ser㤆ce Agreement㴒 on the use of the social pubbing ser㤆ce, the Ser㤆ce User accepts the terms of the GTC as binding to itself. An agreement regulated by the GTC is concluded betᔄen the Ser㤆ce Pro㤆der and the Ser㤆ce User when the Ser㤆ce User accepts the pro㤆sions of this GTC of the social pubbing ser㤆ce ᔆthin the frameᔌrk of the procedure specified in Section ⠧㈧ hereof✁ ḧḧ The GTC shall be 㤈lid for an indefinite term. The Ser㤆ce User shall be subject to the GTC during the e⼆stence of the Individual Ser㤆ce Agreement concluded between the Ser㤆ce User and the Ser㤆ce Pro㤆der, pro㤆ding that the Indi㤆dual Ser㤆ce Agreement subject to the pro㤆sions of the GTC can be concludedĉorĄitherĈċefiniteČrĈnĆndefiniteĊerm. ḧ〧 Should there be any difference betᔄen the pro㤆sions of the Indi㤆dual Ser㤆ce Agreement and those of the GTC, the pro㤆sions of the Indi㤆dual Ser㤆ce Agreement shall be applied to the legal relationship of the Parties ᔆth respect to anᐁdifferingęro㤆sions. 〧Đhečer㤆cesęro㤆dedēᐁtheĸer㤆ceĬro㤆der 〧㈧ŀccessĊoėusicĘhannels The Ser㤆ce Pro㤆der shall pro㤆de access for the Ser㤆ce User to the thematic music channels compiled by the Ser㤆ce Pro㤆der as specified in the Indi㤆dual Ser㤆ce Agreement, and allow the Ser㤆ce User to play the indi㤆dual songs included in the music channels at the location specified in the Indi㤆dual Ser㤆ce Agreement. The Ser㤆ce User acknoᔛedges that it may use the social pubbing ser㤆ce at a location different from the one specified in the Indi㤆dual Ser㤆ce Agreement only ᔆth the prior ᔅitten consent of the Ser㤆ce Pro㤆der. The Ser㤆ce Pro㤆der may freely change the contents of the specific music channels. In case of using the ser㤆ce with a hardᔈre plaᐄr unit, the Service User may changeĊheĘontentsČfĊheėusic channelsĘompiledēᐁthe Ser㤆ce Pro㤆der forĈ charge and to the e⼊ent specified in the Indi㤆dual Ser㤆ce Agreement. In case of using the ser㤆ce with a softᔈre plaᐄr unit, the Ser㤆ce User may not change theĘontentsČfĊheėusicĘhannelsĘompiledēᐁtheĸer㤆ceĬro㤆der. 〧ḁ✁Pro㤆sionČfĈnĈdministrationčurface By means of the use of an appropriate administration surface, the Ser㤆ce Pro㤆der shall pro㤆de the facility for the Ser㤆ce User to change betᔄen thematic music channels, to lea㤄 out or prohibit specific songs included in the respecti㤄 music channel, in case of a hardᔈre plaᐄr unit, for a charge and to the e⼊ent specified in the Individual Ser㤆ce Agreement, to upload oᔇ songs to theėusicĘhannel⌁andĊherebyĊoĄditĊheėusicĘontentĊoĊheĸer㤆ceijserĕith due regard to the pro㤆sions of the GTC. The Ser㤆ce User acknoᔛedges that it may upload only such songs o㤄r ᔃich it has an unlimited right of disposal, and ᔃich do not infringe the copᐅight or any other right of third parties, do not constitute an offence against public decencᐣ public order, public trust, and do not violate the religious or ideological beliefs of others. The Ser㤆ce User shall ha㤄 complete liability for the songs uploaded by the Ser㤆ce User, and the Ser㤆ceĬro㤆derċoesćotĊakeĈnᐁliabilityĉorčuchčongs. 〧〧Ĭro㤆dingĈėobileęhoneĈpplicationĉorĊheĘustomersČfĊheĸer㤆ceijser By means of a mobile telephone application doᔇloadable free of charge and suitable for the purpose, the Ser㤆ce Pro㤆der pro㤆des the facility for the customers of the Ser㤆ce User to perform the folloᔆng actions related to the socialęubbingčer㤆ce: aሁtoĹoteĉorĈčongĆncludedĆnĊheęlaᐛist, b) to add a song included in the music channel of a certain performer to the plaᐛist, cሁtočendĈėessageĊoĊheŁacebookĕallČfĊheĘustomer, dሁtoĹiewăis䈃er oᔇ profile relatedĊo the socialęubbing ser㤆ce⌁orčuch profile ofČtherĝuestsČfĊheĸer㤆ceijser, eሁtoēuyĊhečongsĆncludedĆnĊheęlaᐛist, f) to use any additional ser㤆ces to be created in the future as a result of the de㤄lopmentČf the applicationēᐁthe Ser㤆ce Pro㤆der andėade a㤈ilable to the Ser㤆ce User free of charge or for a charge specified in the Indi㤆dual Ser㤆ce Agreement. 〧⠧ĬlacingĊheĸer㤆ceijser䌍Ĉd㤄rtisements By means of the application referred to in Section 〧〣 the Ser㤆ce Pro㤆der pro㤆des to the Ser㤆ce User the facility to place ad㤄rtisements complᐆng with the legal regulations from time to time and determined by the Ser㤆ce User on the sub-page a㤈ilable at the notification section of the application, and the facility that the Service User䌍 customers can ad㤄rtise the Ser㤆ce User at their oᔇ Facebook pages or other social media pages. The Ser㤆ce User䌍 right to placeĈd㤄rtisementsčhallćotēeĄ⼘lusi㤄. 〧䐧ĿnĘaseČfĈčer㤆ceĥsedēᐁmeansČfĈăardᔈreęlaᐄrĥnit 〧䐧㈧Ĭro㤆sionČfĈăardᔈreęlaᐄrĥnit The Ser㤆ce Pro㤆der puts at the Ser㤆ce User䌍 disposal the hardᔈre plaᐄr unit necessary for using the ser㤆ce, and the cables, poᔄr supply units necessary for connecting it to the Internet and supplying it with power, and the so-called "flyers" for ad㤄rtising the social pubbing ser㤆ce, and the description necessary for the installation and use of the abo㤄. The Ser㤆ce User acknoᔛedges that it shall not obtain the oᔇership of the assets put at its disposal, such assets shall constitute the property of the Ser㤆ce Pro㤆der. The Ser㤆ce User undertakes to return the assets handed o㤄r to the Ser㤆ce User back to the Ser㤆ce Pro㤆der in the condition such assets were handed o㤄r, after the termination of the legal relationship between the Parties, ᔆthin the deadline specified in the Indi㤆dual Ser㤆ceŀgreement. In case they become faultᐣ the Service Pro㤆der undertakes to repair or replace the assets handed o㤄r to the Ser㤆ce User. Only the Ser㤆ce Pro㤆der shall be authorised to repair the assets handed o㤄r to the Ser㤆ce User. If the hardᔈre plaᐄr unit de㤄lops a fault due to a reason within the Ser㤆ce User䌍 scope of interests, the Ser㤆ce Pro㤆der shall charge a call-out charge and maintenance charge specified in the Indi㤆dual Ser㤆ce Agreement in relation to the reparation of the hardᔈre plaᐄr unit, ᔃich charges shall be paid by the Ser㤆ce User at theĊimeČfĊheąeparationČfĊheăardᔈreęlaᐄrĥnit. The Ser㤆ce User e⼙ressly acknoᔛedges that it is a material precondition of using the social pubbing ser㤆ce that the Ser㤆ce User ha㤄 Internet access, an appropriate sound sᐍtem, access to electric poᔄr, and the facility to connect to theĈbo㤄. Pro㤆dingĉor such conditionsčhall beĊhe Ser㤆ceijser䌍 responsibilitᐧ It shall also be the Ser㤆ce User䌍 responsibility to carry out the installation ᔌrks of theĈssets necessary forĥsingĊhe social pubbingčer㤆ceĈndĊo connectĊo the ser㤄rsęro㤆dingĊhečer㤆ce. The Ser㤆ce User undertakes that as long as the flᐄrs are displaᐄd at the premises specified as the location of the ser㤆ce in the Individual Ser㤆ce Agreement⌁andĈsěongĈs the socialęubbing ser㤆ce is ad㤄rtisedČtherᔆse⌁the Ser㤆ce User shall continuously pro㤆de the social pubbing ser㤆ce at the respecti㤄 location. Furthermore, the Ser㤆ce User undertakes to remo㤄 the flᐄrs and any other ad㤄rtising referring to the social pubbing ser㤆ce immediatelᐁafterĊheĊerminationČfĊheĿndividualĸer㤆ceŀgreement. 〧䐧ḧĬro㤆dingĘustomerčervice In relation to the use of the social pubbing ser㤆ce, the Ser㤆ce Pro㤆der shall operate a telephone customer ser㤆ce e㤄ry ᔌrkdaᐣ and an online customer ser㤆ce on every day of the week betᔄen ㈞ภ0 noon and 䘎† PM in Hungarian, English and German languages. The Ser㤆ce Pro㤆der shall ansᔄr the questions made through the online customer ser㤆ce ᔆthin 2 hours on ᔌrkdaᐍ and ᔆthin ⠁hoursČnĕeekendsĈndăolidaᐍ. 〧㔧ĿnĘaseČfĈčer㤆ceĥsedēᐁmeansČfĈčoftᔈreęlaᐄrĥnit In case of the use of the ser㤆ce online, the Ser㤆ce Pro㤆der shall make it possible for the Ser㤆ce User to doᔇload the softᔈre necessary for the online useČfĊhečer㤆ceĉromĊhroughĊhećoispot✘omĕebsiteēᐁmeansČfĊheĥseČfĈ loginćame. 〧䘧 The Ser㤆ce Pro㤆der shall pro㤆de the ser㤆ces included in the ser㤆ce package ordered by the Ser㤆ce User from among the ser㤆ces specified in this Section 〧 The Ser㤆ce Pro㤆der䌍 ser㤆ce packages as in effect from time to time areĈ㤈ilableĈtĊhećoispot✘omĕebsite. ⠧ĐheĘonditionsČfĥsingĊhečocialęubbingčer㤆ce ⠧㈧ The opening page of the social pubbing ser㤆ce ȇoispot✘om) can be freely broᔍed by anᐌne. The Ser㤆ce User shall become authorised to use the social pubbing ser㤆ce on the basis of the Individual Ser㤆ce Agreement concluded with the Ser㤆ce Pro㤆der. For the use of the social pubbing ser㤆ce, the Individual Ser㤆ce Agreement must be concluded betᔄen the Ser㤆ce Pro㤆der and the Ser㤆ce User. By signing the Individual Ser㤆ce Agreement, the Ser㤆ce User shall agree to the management of data according to the Ser㤆ce Pro㤆der䌍 data managementęolicᐧ ⠧ḧ In case of using a softᔈre plaᐄr unit, the safekeeping of the login name shall be an circumstance falling ᔆthin the Ser㤆ce User䌍 scope of interest, and the Ser㤆ce Pro㤆der shall take for no liability for any damages arising the failure ofĊheĈbo㤄. ⠧〧 The GTC as in effect from time to time shall be a㤈ilable at the noispot✘om homepage of the social pubbing ser㤆ce in Hungarian, English and German languagesęro㤆dingĊhatĊheĩungarianĹersiončhallęre㤈il. ⠧⠧ The social pubbing service shall already become a㤈ilable to the Ser㤆ce User as of the time of the conclusion of the agreement specified in Section ḧ1 and䈌rĈfterĊheăando㤄rČfĊheĈssetsčpecifiedĆnĸectionİ❄✲. ⠧ἧ After the conclusion of the agreement, the Ser㤆ce User shall pay the ser㤆ce charge in the sum and from the starting date specified in the Indi㤆dual Ser㤆ce Agreement for the social pubbing ser㤆ce to the Ser㤆ce Pro㤆der, based on the Ser㤆ce Pro㤆der䌍 in㤌ice. The ser㤆ce charge shall be paid monthly in ad㤈nce, or in respecti㤄 cases, upon the termination of the Individual Ser㤆ce Agreement. Theĸer㤆ceijserčhallčettleĊheĆn㤌iceĥntilĊheń th ċayČfĊheąespecti㤄ėonth. If the Ser㤆ce User is obliged to pay a joining fee under the Indi㤆dual Ser㤆ce Agreement, it shall pay the joining fee to the Ser㤆ce Pro㤆der until the day of the first use of the social pubbing ser㤆ce. The paᐗent of the joining fee shall be conditionĊoĊheĥseČfĊhečocialęubbingčer㤆ce✁ The Ser㤆ce User䌍 customers shall be authorised to use the free ser㤆ces specifiedĆnĸectionİ✰. ἧĐheėodification⌁terminationČfĊheěegaląelationship ἧ㈧ The Ser㤆ce User acknoᔛedges that the Ser㤆ce Pro㤆der may modify the GTC unilaterallᐧ The modification of the GTC shall become effecti㤄 by its publication on the homepage of the social pubbing ser㤆ce, simultaneously with ᔃich,Ċhe Ser㤆ce Pro㤆der shall notifyĊhe Ser㤆ceijserČfĊhe modification of the GTCēᐁe-mail. ἧḧĜulesČfĊheĊerminationČfĊheĈgreementēᐁtheĸer㤆ceijser ἧḧ㈧ The Ser㤆ce User may terminate an indefinite-term Indi㤆dual Ser㤆ce Agreement or a legal relationship regulated by this GTC by ordinary termination in ᔅiting ᔆth 〠 Ȋhirtᐒ daᐍ notice sent by registered and certified mail. In case of a definite-term Individual Ser㤆ce Agreement, the Ser㤆ce User shall not ha㤄ĊheąightĊoĊerminateĊheĈgreementēᐁordinaryĊermination. ἧḧḧ The Ser㤆ce User shall be entitled to terminate the Individual Ser㤆ce Agreement ᔆth immediate effect ᔆth regard to the modification of the GTC referred to in Section ἧ1 within 5 (fi㤄) daᐍ from such modification becoming effecti㤄ĆfĊheĸer㤆ceijserċoesćotĈcceptčuchėodificationČfĊheďTC. Moreo㤄r, the Ser㤆ce User may terminate the Indi㤆dual Ser㤆ce Agreement ᔆth immediate effect in the e㤄nt of a material breach of contract by the Ser㤆ce Pro㤆der if the Ser㤆ce Pro㤆der fails to remedy its breach of contract ᔆthin ㈟ (fifteenሁdaᐍċespiteĊheĸer㤆ceijser䌍ĕrittenĈd㤈nceĕarning. ἧ〧ĐerminationČfĊheĈgreementēᐁtheĸer㤆ceĬro㤆der ἧ〧㈧ The Ser㤆ce Pro㤆der may terminate an indefinite-term Individual Service Agreement or a legal relationship regulated by this GTC by ordinary termination in ᔅiting ᔆth 〠 Ȋhirtᐒ daᐍ notice sent by registered and certified mail. In case of a definite-term Individual Ser㤆ce Agreement, the Ser㤆ce User shall not ha㤄 the right to terminate the agreement by ordinary termination. In case of a definite-term Individual Ser㤆ce Agreement, the Ser㤆ce Pro㤆der shall not ha㤄 theąightĊoĊerminateĊheĈgreementēᐁordinaryĊermination. ἧ〧ḧ The Ser㤆ce Pro㤆der shall be entitled to terminate the agreement with immediateĄffect,ĆfĊheĸer㤆ceijser: a) hinders or jeopardises the proper operation of the social pubbing ser㤆ce, thus in particular, if the Ser㤆ce User batters, causes damage to, uses improperly or destructsĊheėaterialĈssetsęro㤆dedĊoĆt, bሁinfringesĊheĘopᐅightsąelatedĊoĊhečocialęubbingčer㤆ce, cሁisĆnċefaultĕithĆtsęaᐗentČbligationsēᐁmoreĊhanİ Ȋhirtᐒċaᐍ, dሁpro㤆desĉalseĆnformation, eሁbreachesĊheęro㤆sionsČnĊheĥploadČfČᔇčongsčetĉorthĆnĸectionİ✞✣ fሁcommitsĈnᐁotherėaterialēreachČfĘontract. ἧ〧〧 The Ser㤆ce Pro㤆der shall ᔈrn the Ser㤆ce User to discontinue the breach of contract prior to termination by setting a deadline of at least ㈟ ȉifteen) daᐍ inĘaseĊheĸer㤆ceijser'sēreachČfĘontractĆsĘontinuousĈndĊheċamageČrĊhe injuryĊoĆnterestsĘančtillēeąemedied. 䐧ĮanagementČfęersonalċetails 䐧㈧ The Ser㤆ce Pro㤆der shall be authorised to store, process and use, in connection with the social pubbing ser㤆ce, the personal details pro㤆ded by the Ser㤆ceijser. 䐧ḧ The Ser㤆ce Pro㤆der shall respect and protect the Ser㤆ce User䌍 personal details, and shall handle them confidentiallᐧ The Ser㤆ce Pro㤆der may not allow third parties to learn the personal details that the Ser㤆ce Pro㤆der learned in relationĊoĊhečocialęubbingčer㤆ce. 䐧〧 The Ser㤆ce Pro㤆der shall be authorised to manage the data recei㤄d from the Ser㤆ce Userĉoręrocessing⌁andĊoćotifᐁthe Ser㤆ce UserČn the introduction ofćeᔁser㤆ces. 䐧⠧ The Ser㤆ce User can request information on the management of its personal details and may e⼈mine them any time. The Ser㤆ce Pro㤆der shall pro㤆de such information in ᔅiting ᔆthin the shortest time possible, but within no more than 〠Ăthirtᐒċaᐍ. 䐧ἧ The Ser㤆ce User shall do all in its best endea㤌urs to protect its personal details, especially the user ID necessary to use the ser㤆ces pro㤆ded by the Ser㤆ce Pro㤆der. The Ser㤆ce User shall be liable for any events or actions that occurēᐁtheĥseČfĆtsĥserĿD. 䐧䐧 The Ser㤆ce Pro㤆der shall not be liable for any use of personal details in a manner other than specified in this GTC if such use or any damages arising therefromĈreĊheąesultČfĊheĕilful or negligentĘonduct ofĊheĸer㤆ceijser or if theĸer㤆ceĬro㤆derăasęroceededĆnĈccordanceĕithĊheęro㤆sionsČfĊhisďTC. 䐧㔧 The Ser㤆ce Pro㤆der shall manage personal data only ᔆth due regard to the pro㤆sionsČfŀctđXIIČfĞ′㈁onĿnformationalĸelf-determinationĈndŁreedomČf Information. The general period of limitation shall apply for the period of data management, and the pro㤆sions of the rele㤈nt legal regulation shall apply to theęurposesČfċataėanagement. 䐧䘧 The Ser㤆ce Pro㤆der represents that its subcontractors, agents and emploᐄes arečubject to the same dataęrotectionĈnd confidentialityČbligations asĊheĸer㤆ceĬro㤆der. 䐧㐧 The Ser㤆ce Pro㤆der䌍 Data Management and Data Security Policy as in effect from time to time is a㤈ilable to Customers at the homepage of the social pubbingčer㤆ce. 㔧ĐrademarkĈndĘopᐅights 㔧㈧ The trademarks and logos appearing on the homepage of the ser㤆ce (noispot✘om) are the e⼘lusi㤄 property of the Ser㤆ce Pro㤆der. These labels may not be used, copied, distributed or published in any manner by others withoutĊheĸer㤆ceĬro㤆der䌍Ą⼙ressęriorĕrittenĘonsent. 㔧ḧ The labels, and the information and other materials a㤈ilable on the homepage, as ᔄll as the songs included in the thematic music channels are protected by copᐅight, and the rights related to the abo㤄 – in case of songs, to the e⼊ent specified in Section 㔧3 – are held be the Service Pro㤆der or the original copᐅight oᔇers. The information and other materials a㤈ilable on the homepage, and the songs may not be used, copied, distributed or published by third parties without the e⼙ress prior ᔅitten consent of the Ser㤆ce Pro㤆der, or respecti㤄lᐣ of the original copᐅight oᔇers. The Ser㤆ce User undertakes not to record in any manner the songs made a㤈ilable to it, and to use them only at the ser㤆ce pro㤆ding location specified in the Indi㤆dual Ser㤆ce Agreement, during the existence of the Indi㤆dual Ser㤆ce Agreement, and to the e⼊ent specified in theďTC. 㔧〧 The Ser㤆ce Pro㤆der represents the Ser㤆ce Pro㤆der and the Association of the Arts Unions Bureau for the Protection of Performers´ Rights Ȳ⁄8 Budapest, Városligeti fasor う✣ Hungarᐒ and the Association of Hungarian Record Companies Ȳ㈲3 Budapest, Harcos tér ἧ, Hungarᐒ entered into an agreement on ㈴ August Ḡ㈲, under which the Ser㤆ce Pro㤆der became authorised to pro㤆de an interacti㤄 ᔄbcasting ser㤆ce among others, ᔃich authorises the Ser㤆ce Pro㤆der to communicate sound recordings to the public by cable or any other similar means or in any similar manner, including the use of a mobile netᔌrkĆnčuchĈėannerĊhatĈlloᔍĉorĊheėembersČfĊheęublic a) to gi㤄 preference to certain genres or performers included in the programme, notĆncludingĊhečelectionČfčpecificęerformerȍ)ČrčoundąecordingȍሣČr bሁtočkipČneČrėorečoundąecordingsċuringĥse⌁or cሁtočtopĊheĉlowČfĊheęrogrammeĉorĈčhortĊime. Under the abo㤄 referred agreement, the Ser㤆ce Pro㤆der is also authorised to pro㤆de a simulcasting ser㤆ce, that is to communicate sound recordings to the public simultaneously ᔆth the broadcast by means of a computer netᔌrk too, outside the territory of Hungarᐣ in the territories of Argentina, Austria, Belgium, Bulgaria, Czech Republic, Denmark, Estonia, Finland, Greece, the Netherlands, Hong ␌ng, Ireland, Iceland, Canada, Poland, Malaᐍia, Me⼆co, Great Britain, Germanᐣ Norᔈᐣ Italᐣ Peru, Portugal, Switzerland, Sweden, Singapore, Thailand⌁Taiᔈn,ĈndĖeᔁZealandĕithoutĊheęaᐗentČfĈnᐁfurtherĉees. The Ser㤆ce Pro㤆der represents that the Ser㤆ce Pro㤆der and the Society Artisjus Hungarian Bureau for the Protection of Authors' Rights Ȳ′6 Budapest, Mészáros u. ㈟-㈵✣ Hungarᐒ entered into a licence agreement on ㈞ August Ḡ㈲, under ᔃich the Ser㤆ce Pro㤆der became authorised, ᔆthout the special consent of the individual authors䈘opᐅight oᔇers in㤌l㤄d, to make audio recordings, ᔆth its oᔇ means and ᔆthout making any changes, of any audio or video recordings laᔉully used for its oᔇ programme, including audio recordings in commercial circulation, of the ᔌrks of Hungarian and foreign composers or lᐅicists protected by copᐅight and already published in any form, and of musical ᔌrks with or without te⼊ classifᐆng as “ rNyddateCmnr ” ᔌrks, and to communicate the abo㤄 ᔌrks to the public by using a computer netᔌrk as many times as the Ser㤆ceĬro㤆derĕishes. The Ser㤆ce Pro㤆der pro㤆des the social pubbing ser㤆ce on the basis of and by complᐆngĕithĊheęro㤆sionsČfĊheĈgreementsčpecifiedĆnĊhisĸection. 䘧Ŏarrantᐣěiability 䘧㈧ The Ser㤆ce Pro㤆der ᔈrrants that all of the ser㤆ces pro㤆ded by it are operableĈsČfĊheĘreationČfĊheěegaląelationship. 䘧ḧ The Ser㤆ce Pro㤆der shall do all reasonable endea㤌urs to ensure the efficiency and continuity of the ser㤆ce but shall not be liable for any loss or damagesĘausedēᐁtheĉailureČrČtherĆnsufficiencyČfĊhečer㤆ces. The Ser㤆ce User acknoᔛedges that the pro㤆sion of the ser㤆ce may be disrupted in e⼘eptional cases ᔆthout the knoᔛedge of and against the intentions of the Ser㤆ce Pro㤆der. In such case, the Ser㤆ce Pro㤆der shall do all reasonable endea㤌urs to pro㤆de the ser㤆ce as soon as possible, including the fulfilment of the repairing, replacing obligation specified in Section 〧䐧1 as soon asęossible. 䘧〧 The Ser㤆ce Pro㤆der shall not be held liable if the social pubbing ser㤆ce and䈌r the relating application and䈌r the homepage is not operating at all or not operating properly for a technical or other failure not attributable to the Service Pro㤆der. Accordinglᐣ the Ser㤆ce Pro㤆der does not guarantee the failure-free and undisrupted operation of the social pubbing ser㤆ce and䈌r the relating application and䈌r the homepage under all circumstances. The Service Pro㤆der䌍 undertaken ᔈrranty shall not e⼊end to the case ᔃen the failure of the service and䈌rĊheąelatingĈpplicationĈnd䈌rĊheăomepageĆsĘausedēᐁaĊhirdęartᐧ 䘧⠧ The Ser㤆ce Pro㤆der reser㤄s the right to develop further or modify the social pubbing ser㤆ce and䈌r the relating application and䈌r the homepage from time to time, as necessarᐣ pro㤆ded that such changes shall not change the nature of the social pubbing ser㤆ce in a manner contrary to the GTC and shall not disad㤈ntageously affect its function. Furthermore, the Ser㤆ce Pro㤆der reser㤄s the right to suspend the operation of the relating application and䈌r homepage for reparati㤄 or pre㤄ntive maintenance, or for development purposes, pro㤆ded that the Ser㤆ce Pro㤆der shall take all e⼙ectable measures in order to limit the period of suspension to the shortest period possible. The Ser㤆ce Pro㤆der shall notify the Ser㤆ce User of the planned doᔇtime at least 3 ȊhreeሁcalendarċaᐍĆnĈd㤈nce. 䘧ἧ The Ser㤆ce Pro㤆der shall be liable for damages caused only by defaults arising from ᔆlful or serious negligence attributable to the Ser㤆ce Pro㤆der. The limitation of liability is stipulated ᔆth regard to the fact that the use of certain ser㤆cesčpecifiedĆnĸectionĨ✟ĆsĉreeČfĘhargeĊoĊheĸer㤆ceijser. 䘧䐧 The Ser㤆ce User shall ha㤄 unlimited liability for all damages caused to the material assets handed o㤄r to the Ser㤆ce User e⼘ept for damages caused by theĸer㤆ceĬro㤆der. 㐧đonfidentiality 㐧㈧ĐheĬarties agree that theᐁshallēeČbligedĊoĻeep⌁withoutĈnᐁlimitation of time, any business secrets 伬ar. (Ḓ, Sec. 䘲. of the Ci㤆l Code] learned about one another in relation to the social pubbing ser㤆ce, including but not limited to the data included in the Individual Ser㤆ce Agreement, and any facts, data or information regarding the other Partᑃs business policy and its operation. Business secrets may be disclosed to third parties only with the other Partᑃs prior ᔅitten consent, or if the disclosure of the business secret is the statutory obligation ofĄither Partᐧ InĊheěatterĘase, the Parties shallćotifᐁoneĈnotherČf theċisclosureČfĊhečecretĕithoutċelaᐧ 㐧ḧ Should the Ser㤆ce User breach its obligations set forth in Section 㐧㈣ it shall pay a penalty amounting to HUF ㈞‧†‣ that is one hundred thousand Hungarianĉorints⌁toĊheĸer㤆ceĬro㤆derĕithinIJ daᐍĉromčuchē reach. ㈠✁Forceėajeure The Parties shall be released from the legal consequences of breaching the GTC or the Individual Ser㤆ce Agreement if the non-performance or the late performance of their obligations is the result of force majeure. The Parties shall notify one another of the occurrence or discontinuance of circumstances classifᐆng as force majeure in ᔅiting without delaᐣ and verify the occurrence of the force majeure by a document issued by the competent authoritᐧ The Parties shall notify one another of the reasons, e⼊ent, and characteristics of the force majeure e㤄nt, and its e⼙ected impact on the fulfilment of the GTC and the Indi㤆dual Ser㤆ce Agreement, as ᔄll as any change or the end of the force majeureĄ㤄nt. ㈲✁Closingęro㤆sions ㈲✲✁Theĸer㤆ceĬro㤆derėayĄngagečubcontractors.Đheĸer㤆ceĬro㤆derčhall be liable for the acti㤆ties of its subcontractors as if it had pro㤆ded the ser㤆ce itself. ㈲✞. In any issues not regulated herein, the pro㤆sions of Act IV of ㈴ἴ, Act LXXVIČfIJ㐴㐣ĈndĊhoseČfŀctĚXXVIČfIJ㐴㐁onđopᐅightčhallēeĈpplied. ㈲✰. The Parties agree that they shall endea㤌ur to settle any disputed issues arising betᔄen them primarily by negotiations, by in㤌l㤆ng their legal representati㤄s if necessarᐣ and they shall turn to court only in case the abo㤄 endea㤌urs are unsuccessful, for which case they stipulate the e⼘lusi㤄 jurisdiction of the Court of Arbitration operating at the Hungarian Chamber of CommerceĈndĿndustryć oᔧ
