OracleContributorAgreement ThisOracleContributorAgreement(“OCA”)appliestoanycontributionthatyoumaketoanyproductorprojectmanagedbyus(the“project”), andsetsouttheintellectualpropertyrightsyougranttousinthecontributedmaterials.Theterm“us”shallmeanOracleInternational Corporation.Theterm“you”shallmeanthepersonorentityidentifiedbelow.Ifyouagreetobeboundbytheseterms,fillintheinformation requestedbelowandsigntheOCAwhereindicatedbelow.Readthisagreementcarefullybeforesigning.Thesetermsandconditions constituteabindinglegalagreement. 1.Theterm'contribution'or‘contributedmaterials’meansanysourcecode,objectcode,patch,tool,sample,graphic,specification,manual, documentation,oranyothermaterialpostedorsubmittedbyyoutotheproject. 2.Withrespecttoanyworldwidecopyrights,orcopyrightapplicationsandregistrations,inyourcontribution: •youherebyassigntousjointownership,andtotheextentthatsuchassignmentisorbecomesinvalid,ineffectiveorunenforceable,you herebygranttousaperpetual,irrevocable,non-exclusive,worldwide,no-charge,royalty-free,unrestrictedlicensetoexerciseallrights underthosecopyrights.Thisincludes,atouroption,therighttosublicensethesesamerightstothirdpartiesthroughmultiplelevelsof sublicenseesorotherlicensingarrangements; •youagreethateachofuscandoallthingsinrelationtoyourcontributionasifeachofuswerethesoleowners,andifoneofusmakes aderivativeworkofyourcontribution,theonewhomakesthederivativework(orhasitmade)willbethesoleownerofthatderivative work; •youagreethatyouwillnotassertanymoralrightsinyourcontributionagainstus,ourlicenseesortransferees; •youagreethatwemayregisteracopyrightinyourcontributionandexerciseallownershiprightsassociatedwithit;and •youagreethatneitherofushasanydutytoconsultwith,obtaintheconsentof,payorrenderanaccountingtotheotherforanyuseor distributionofyourcontribution. 3.Withrespecttoanypatentsyouown,orthatyoucanlicensewithoutpaymenttoanythirdparty,youherebygranttousaperpetual, irrevocable,non-exclusive,worldwide,no-charge,royalty-freelicenseto: •make,havemade,use,sell,offertosell,import,andotherwisetransferyourcontributioninwholeorinpart,aloneorincombinationwith orincludedinanyproduct,workormaterialsarisingoutoftheprojecttowhichyourcontributionwassubmitted,and •atouroption,tosublicensethesesamerightstothirdpartiesthroughmultiplelevelsofsublicenseesorotherlicensingarrangements. 4.Exceptassetoutabove,youkeepallright,title,andinterestinyourcontribution.Therightsthatyougranttousunderthesetermsare effectiveonthedateyoufirstsubmittedacontributiontous,evenifyoursubmissiontookplacebeforethedateyousigntheseterms.Any contributionwemakeavailableunderanylicensewillalsobemadeavailableunderasuitableFSF(FreeSoftwareFoundation)orOSI(Open SourceInitiative)approvedlicense. 5.Youcovenant,represent,warrantandagreethat: •eachcontributionthatyousubmitisandshallbeanoriginalworkofauthorshipandyoucanlegallygranttherightssetoutinthisOCA; •tothebestofyourknowledge,eachcontributionwillnotviolateanythirdparty'scopyrights,trademarks,patents,orotherintellectual propertyrights;and •eachcontributionshallbeincompliancewithU.S.exportcontrollawsandotherapplicableexportandimportlaws.
